Please read these Terms & Conditions carefully before engaging Amatrons Technologies Pvt Ltd for any service. By accessing our website, submitting an enquiry, signing a contract, or engaging our services, you agree to be bound by these terms. These Terms apply to all clients regardless of location, and include jurisdiction-specific provisions for clients in the United States, United Kingdom, European Union, UAE, and India.
Section 01

Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client", "you", "your") and Amatrons Technologies Pvt Ltd ("Amatrons", "we", "us", "our"), a company incorporated in India with its registered office at B-6, Sector 4, Noida, Uttar Pradesh, India โ€“ 201301.

By accessing amatrons.com, requesting a quote, signing a project contract, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you are entering into this agreement on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to any part of these Terms, you must not use our website or engage our services.

Amatrons Technologies Pvt Ltd is a digital technology agency incorporated under the Companies Act 2013 in India. We provide web design, application development, AI automation, and related digital services to businesses globally.

Section 03

Our Services

Amatrons offers the following categories of services, each governed by a specific written project contract in addition to these Terms:

The specific deliverables, timelines, and pricing for each project are defined in a separate written Project Agreement ("Contract") which, once signed by both parties, forms part of the binding agreement alongside these Terms. In the event of any conflict between a Contract and these Terms, the Contract shall prevail.

Section 04

Engagement Process

Discovery & Quote

All engagements begin with a free discovery call. Following the call, we provide a written fixed-price quote within 48 hours. The quote sets out the scope of work, deliverables, timeline, and total price. No work commences until the quote is accepted in writing and a deposit is received.

Project Contract

Upon acceptance of our quote, a formal Project Contract is prepared and signed by both parties. The Contract includes the complete scope of work, milestones, payment schedule, IP transfer terms, warranty terms, and any project-specific conditions. The Contract is legally binding and takes precedence over the general provisions of these Terms where specific provisions differ.

Commencement

Work begins upon: (a) receipt of a signed Project Contract from the Client; (b) receipt of the agreed deposit payment; and (c) receipt of all required materials, assets, and access credentials specified in the Contract.

Changes to Scope

Any changes to the agreed scope of work must be requested in writing and will require a written Change Order specifying the additional work, adjusted timeline, and additional cost. Change Orders must be approved by both parties before additional work commences. Amatrons reserves the right to adjust project timelines where scope changes are introduced mid-project.

Section 05

Pricing & Payment

Fixed-Price Contracts

All Amatrons projects are priced on a fixed-price basis. The price quoted is the price you pay โ€” there are no hidden fees, hourly billing overruns, or post-delivery charges unless additional work is agreed via a Change Order.

Payment Schedule

Unless otherwise agreed in the Project Contract, our standard payment schedule is:

  • 50% deposit โ€” due upon signing the Project Contract, before work commences
  • 25% milestone payment โ€” due upon delivery of agreed mid-project milestone
  • 25% final payment โ€” due upon final delivery and client approval

Payment Methods

We accept bank transfer (SWIFT/NEFT/RTGS), PayPal, Wise, and other methods as agreed. All prices are quoted in USD unless otherwise stated. For Indian clients, prices may be quoted in INR. Currency conversion applies at the rate prevailing on the invoice date.

Late Payment

Invoices are due within 7 days of issue. Late payments beyond 14 days from the due date may incur interest at 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower). Amatrons reserves the right to suspend work on any project where payment is overdue by more than 14 days.

Taxes

All prices are exclusive of applicable taxes. Indian clients will be charged GST as applicable. International clients are responsible for any taxes, duties, or withholding obligations that apply in their jurisdiction. Amatrons will provide a compliant invoice for all payments.

Important for EU clients: Under the EU VAT reverse-charge mechanism, B2B services supplied from India to EU businesses are subject to the recipient's local VAT rules. You may be required to self-account for VAT in your jurisdiction. Please consult your tax advisor.
Section 06

Intellectual Property

IP Transfer to Client

Upon receipt of full and final payment, Amatrons assigns to the Client all intellectual property rights in the custom deliverables produced specifically for the Client under the Project Contract. This includes source code, design files, written content, and other bespoke work product created for the Client.

Amatrons Retained Rights

Amatrons retains ownership of the following, which are licensed (not assigned) to the Client for use in the deliverables:

  • Pre-existing tools, frameworks, libraries, and methodologies developed by Amatrons prior to the project
  • Generic code components, modules, and templates not created exclusively for the Client
  • Third-party licensed components (licensed to the Client under the relevant third-party terms)

Third-Party Components

Where deliverables incorporate third-party software, fonts, images, plugins, or APIs, the Client is responsible for obtaining and maintaining any required licences for ongoing use. Amatrons will identify all third-party components used in the Project Contract.

Portfolio Rights

Amatrons reserves the right to display the completed work in our portfolio, case studies, and marketing materials unless the Client requests confidentiality in writing at or before project commencement. Where an NDA is in place, portfolio use is subject to the terms of the NDA.

Client Content

The Client retains all rights to content, data, trademarks, logos, and other materials provided to Amatrons for inclusion in the deliverables. The Client grants Amatrons a limited licence to use such materials solely for the purpose of completing the project.

Section 07

Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the course of an engagement. Where a separate Non-Disclosure Agreement (NDA) has been signed, the terms of that NDA apply. Where no NDA has been signed, this clause governs.

Amatrons will not disclose Client confidential information to any third party without written consent, except as required by law or to subcontractors bound by equivalent confidentiality obligations. This obligation survives the termination of any project engagement.

Section 08

Client Obligations

To enable Amatrons to deliver projects on time and to the agreed quality, the Client agrees to:

  • Provide all required materials, content, assets, credentials, and information within the timescales specified in the Project Contract
  • Make decisions and provide feedback within the review periods specified in the Contract
  • Designate a single point of contact with authority to approve deliverables and sign off on milestones
  • Make payments on time as per the agreed schedule
  • Not request changes that are outside the agreed scope without a signed Change Order
  • Ensure that all materials, content, and data provided to Amatrons do not infringe any third-party intellectual property rights
  • Not use the deliverables for any unlawful purpose
Project delays caused by the Client โ€” If a project is delayed due to late provision of materials, delayed feedback, or failure to make scheduled payments, Amatrons reserves the right to adjust the project timeline accordingly. Such delays do not constitute a breach of contract by Amatrons and do not entitle the Client to a refund.
Section 09

Warranties & 90-Day Guarantee

Amatrons Warranties

Amatrons warrants that:

  • All deliverables will be created with reasonable skill and care
  • Deliverables will materially conform to the agreed specifications in the Project Contract
  • We have the right to assign the intellectual property in custom deliverables as described in Section 6
  • Work will not knowingly infringe any third-party intellectual property rights

90-Day Post-Delivery Warranty

Amatrons provides a 90-day warranty on all delivered work, commencing from the date of final delivery and Client sign-off. During this warranty period, Amatrons will fix, at no additional charge, any defect or malfunction in the deliverables that arises from our work โ€” provided that:

  • The defect is not caused by Client modifications to the deliverables
  • The defect is not caused by third-party software, plugins, or services outside our control
  • The defect is not caused by changes to the Client's hosting environment or third-party API changes
  • The Client reports the defect in writing within the 90-day window

Exclusions

These warranties do not cover: feature requests or enhancements beyond the agreed scope, search engine ranking performance, third-party integrations beyond our control, or changes in business results following delivery.

Timeline guarantee: If Amatrons misses an agreed delivery milestone through our own fault (not caused by Client delays or scope changes), the Client is entitled to a pro-rata refund proportional to the undelivered portion of work. This is a contractual right, not a discretionary policy.
Section 10

Limitation of Liability

To the maximum extent permitted by applicable law:

  • Amatrons' total liability to the Client under or in connection with any project shall not exceed the total fees paid by the Client for that specific project
  • Amatrons shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or loss of goodwill, even if advised of the possibility of such damages
  • Amatrons shall not be liable for delays or failures caused by circumstances beyond our reasonable control (force majeure), including but not limited to natural disasters, internet outages, third-party service failures, government actions, or pandemics
UK & EU clients: Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law or applicable EU consumer protection law.

Where the Client is a consumer (not a business) in the UK or EU, the Client's statutory rights under UK and EU consumer protection law are not affected by these Terms.

Section 11

Indemnification

The Client agrees to indemnify, defend, and hold harmless Amatrons Technologies Pvt Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • The Client's use of the deliverables in violation of applicable law
  • Any content, data, or materials provided by the Client that infringes third-party intellectual property rights
  • The Client's breach of these Terms or any Project Contract
  • Any misrepresentation made by the Client during the engagement process
Section 12

Termination

Termination by Either Party

Either party may terminate a Project Contract with 14 days' written notice. In the event of termination:

  • The Client shall pay for all work completed up to the date of termination on a pro-rata basis
  • Amatrons shall deliver all completed work product and transfer any relevant files to the Client upon receipt of payment for work completed
  • The deposit is non-refundable unless Amatrons terminates the contract without cause

Termination for Breach

Either party may terminate a Project Contract immediately upon written notice if the other party materially breaches any provision of the Contract and fails to remedy the breach within 7 days of written notice. Material breach by Amatrons includes failure to deliver any agreed milestone more than 30 days beyond the agreed date without a valid reason. Material breach by the Client includes non-payment beyond 30 days of the due date.

Effect of Termination

Upon termination, all provisions of these Terms that by their nature should survive termination shall continue in full force, including confidentiality, intellectual property, limitation of liability, and dispute resolution provisions.

Section 13

Dispute Resolution

In the event of any dispute, the parties agree to first attempt to resolve the matter amicably through good faith negotiation. Either party may initiate this process by sending a written notice of dispute to the other party. The parties will have 30 days to reach a resolution.

If the dispute cannot be resolved through negotiation within 30 days, the parties agree to attempt mediation before commencing formal legal proceedings.

The formal dispute resolution mechanism depends on the Client's jurisdiction โ€” see Section 14 (Governing Law).

EU clients: You may also use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr for disputes arising from online services.
Section 14

Governing Law

The governing law and jurisdiction for disputes depend on the Client's country of residence or incorporation:

For the avoidance of doubt, where a signed Project Contract specifies a different governing law, the Contract provisions shall take precedence.

Section 15

Acceptable Use of Our Website

By accessing amatrons.com, you agree not to:

  • Use our website for any unlawful purpose or in any way that violates applicable local, national, or international laws or regulations
  • Attempt to gain unauthorised access to any part of our website, server, or database
  • Transmit any unsolicited or unauthorised advertising or promotional material (spam)
  • Knowingly transmit any data or files containing viruses, trojans, worms, or other malicious software
  • Harvest or scrape any content from our website without our written permission
  • Reproduce, duplicate, copy, or resell any part of our website in contravention of these Terms
  • Use our website to defame, harass, abuse, threaten, or otherwise violate the rights of any person

Amatrons reserves the right to restrict or block access to our website for any user who violates these provisions.

Section 16

Changes to These Terms

Amatrons reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and notify active clients by email.

Your continued use of our website or services after any changes constitutes acceptance of the revised Terms. If you do not agree with any changes, you should cease using our website and services.

Changes to these Terms do not affect the terms of any Project Contract already signed and in force โ€” those contracts remain governed by the Terms in effect at the time of signing.
