01Introduction

Welcome to Amatrons Technologies Pvt Ltd ("Company", "We", "Us", or "Our"). These Terms and Conditions ("Terms") govern your access to and use of our website located at www.amatrons.com and all associated services, including our Patient Acquisition and Booking System for skin and hair clinics operating in Delhi, Ghaziabad, Noida, Gurgaon, and Faridabad (collectively referred to as the "Delhi NCR Region").

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.

These Terms have been prepared in accordance with applicable Indian laws, including but not limited to the Information Technology Act, 2000 (as amended), the Consumer Protection Act, 2019, and applicable provisions of the Indian Contract Act, 1872.

02About the Company

Amatrons Technologies Pvt Ltd is a private limited company incorporated under the Companies Act, 2013, registered in India. We provide digital marketing, patient inquiry management, website development, WhatsApp automation, and related growth consulting services specifically designed for private skin and hair clinics located in the Delhi NCR region.

03Eligibility

Our services are intended exclusively for:

• Private skin and hair clinics registered and operating within the Delhi NCR region
• Clinic owners, directors, partners, or authorised representatives who have the legal authority to enter into binding agreements on behalf of their clinic
• Individuals who are at least 18 years of age

By engaging our services, you represent and warrant that you meet all of the above eligibility criteria. We reserve the right to decline service to any entity or individual who does not meet these requirements.

04Services Offered

Amatrons Technologies Pvt Ltd offers the following services to eligible clinics:

• Design and development of high-converting clinic websites
• Online appointment booking system integration
• WhatsApp automation for patient inquiry follow-up
• AI-powered clinic assistant for common patient queries
• Lead tracking and patient pipeline dashboard
• Google Ads campaign setup and monthly optimisation
• Staff training and system handover
• Monthly performance reporting and system improvements

The scope, pricing, timelines, and deliverables of any specific service engagement shall be defined in a separate Service Agreement or Statement of Work ("SOW"). In the event of any conflict between these Terms and a signed SOW, the SOW shall prevail for the specific engagement.

05No Guarantee of Results

Patient inquiry volume and conversion rates depend on several factors outside our direct control, including but not limited to:

• The quality and competitiveness of the clinic's treatments and pricing
• The responsiveness and professionalism of the clinic's staff when handling inquiries
• Local market conditions, seasonality, and patient demand
• The accuracy of information provided by the clinic to us for campaign setup
• Google Ads budget and market competition for relevant keywords

Any projections, estimates, or examples of results shared in our marketing materials, presentations, or conversations are indicative only and do not constitute a guarantee or warranty of performance.

06Client Responsibilities

As a client of Amatrons Technologies Pvt Ltd, you agree to:

• Provide accurate, complete, and up-to-date information about your clinic, services, pricing, and operations as required for our work
• Respond to our communications and requests for approvals in a timely manner to avoid delays in project delivery
• Ensure that your clinic and all its services comply with applicable laws, including the Indian Medical Council Act, the Consumer Protection Act, and all regulations applicable to skin and hair clinics in Delhi NCR
• Not use our services to promote misleading, fraudulent, or unverified medical claims
• Not engage in any activity that could harm Amatrons Technologies Pvt Ltd's reputation or that of other clients
• Keep all login credentials, dashboard access, and system access details confidential and secure
• Inform us immediately if you become aware of any unauthorised access to systems we have set up for you

07Intellectual Property

All content, designs, code, templates, strategies, frameworks, dashboards, automation workflows, and other materials created by Amatrons Technologies Pvt Ltd in the course of providing services ("Deliverables") are and shall remain the intellectual property of Amatrons Technologies Pvt Ltd, unless expressly agreed otherwise in writing in a signed SOW.

Upon full payment of all amounts due under the applicable SOW, Amatrons Technologies Pvt Ltd grants the client a non-exclusive, non-transferable licence to use the Deliverables solely for the operation of the client's clinic within the Delhi NCR region.

Clients must not:

• Resell, sublicense, or transfer the Deliverables to any third party
• Use the Deliverables for any purpose other than the operation of their own clinic
• Reproduce or repurpose the Deliverables for use with multiple clinic locations without a separate written agreement

Amatrons Technologies Pvt Ltd retains the right to display the work completed for a client (in a general, non-confidential manner) in its portfolio, case studies, and marketing materials unless the client requests otherwise in writing.

08Fees, Payment & Taxes

All fees for services shall be as agreed in the applicable SOW or service proposal. Payment terms shall be:

• Setup fees are payable in advance prior to commencement of work, unless otherwise agreed in writing
• Monthly retainer fees are due on the 1st of each calendar month
• All amounts are exclusive of applicable Goods and Services Tax (GST), which shall be charged additionally at the prevailing rate as required under the Goods and Services Tax Act, 2017
• Payments must be made via bank transfer, UPI, or such other method as agreed

Late payments may attract interest at 1.5% per month on the outstanding amount. Amatrons Technologies Pvt Ltd reserves the right to suspend or terminate services if payment is not received within 15 days of the due date.

Ad spend (e.g., Google Ads budget) is billed directly to the client's own Google Ads account and is not included in our service fees. Amatrons Technologies Pvt Ltd does not hold or manage client advertising budgets.

09Termination & Cancellation

9.1 Termination by Client

A client may terminate services by providing 30 days' written notice to business@amatrons.com. The client remains liable for all fees and charges incurred up to the effective date of termination. No refund shall be provided for any partial months of service unless agreed in writing.

9.2 Termination by Amatrons Technologies Pvt Ltd

We reserve the right to terminate services with immediate effect and without liability if:

• The client is in material breach of these Terms and has not remedied the breach within 7 days of written notice
• The client has not made payment within 15 days of the due date
• The client engages in conduct that is fraudulent, illegal, unethical, or harmful to Amatrons Technologies Pvt Ltd or its other clients
• Continuing the engagement would require us to violate any applicable Indian law

9.3 Effect of Termination

Upon termination, the client's licence to use Deliverables created by us shall continue subject to full payment of all outstanding amounts. We reserve the right to withdraw access to any systems, dashboards, or platforms we manage until all outstanding balances are settled.

10Limitation of Liability

To the maximum extent permitted under applicable Indian law:

• Amatrons Technologies Pvt Ltd's total cumulative liability to any client arising out of or related to these Terms or the services shall not exceed the total fees paid by that client in the three months preceding the claim
• We shall not be liable for any indirect, consequential, special, incidental, or punitive damages, including loss of profits, loss of patients, loss of goodwill, or any business interruption
• We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, internet outages, changes in Google's advertising policies, or acts of government

Nothing in these Terms limits our liability for fraud, wilful misconduct, death, or personal injury caused by our negligence, as such liability cannot be excluded under Indian law.

11Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with the services ("Confidential Information") and not to disclose it to any third party without prior written consent, except as required by law or court order.

Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, or is independently developed without use of the Confidential Information.

This confidentiality obligation shall survive termination of the service engagement for a period of two (2) years.

12Data Protection & Privacy

Amatrons Technologies Pvt Ltd collects, processes, and stores personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference.

We comply with applicable data protection laws in India, including the Information Technology Act, 2000, and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

Clients are themselves responsible for obtaining all necessary consents from their patients before sharing any patient data with us. Amatrons Technologies Pvt Ltd shall process patient data only as a data processor on behalf of the client clinic.

13Third-Party Services

Our services may involve integration with or use of third-party platforms, including but not limited to Google Ads, WhatsApp Business API, and website hosting providers. Amatrons Technologies Pvt Ltd is not responsible for the availability, policies, or performance of such third-party services.

Clients must comply with the terms of service of any third-party platforms used as part of our service delivery. Amatrons Technologies Pvt Ltd shall not be liable for any disruption, suspension, or policy change imposed by third-party platforms.

14Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranty of any kind, express or implied. To the maximum extent permitted by Indian law, Amatrons Technologies Pvt Ltd expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or free from viruses or other harmful components.

15Indemnification

You agree to indemnify, defend, and hold harmless Amatrons Technologies Pvt Ltd, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of our services in violation of these Terms
• Any breach of applicable law by your clinic
• Any false or misleading medical claims made by your clinic in materials we have created based on information you provided
• Any dispute between your clinic and a patient

16Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days from the date of written notice of the dispute. If the dispute is not resolved through negotiation, the parties may submit it to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration being New Delhi.

17Amendments to These Terms

Amatrons Technologies Pvt Ltd reserves the right to modify these Terms at any time. Revised Terms will be posted on our website with an updated effective date. Continued use of our services after any such change constitutes your acceptance of the new Terms.

For existing clients under an active SOW, material changes to these Terms will be communicated by email to the registered contact address. If a client objects to any material change, they may terminate the service by providing 30 days' written notice.

18Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

19Entire Agreement

These Terms, together with any applicable SOW, service proposal, and our Privacy Policy, constitute the entire agreement between Amatrons Technologies Pvt Ltd and the client with respect to the services, and supersede all prior negotiations, representations, or agreements.
